Inspired Health Institute™ Membership Educational Service Agreement

The Inspired Health Institute™ (“IHI”) Membership Educational Program (“Membership”) is designed to empower our members to live a healthy, vital life through education, inspiration, and community. This Agreement sets forth the terms and conditions for that Membership.

Fees and Financial Terms

Membership Fees: Membership can be monthly at $39.50 per month or annually at $365.00 a year Your credit card will be kept on file and billed at the beginning of each monthly or annual term unless terminated as set forth below. Membership fees are paid to Inspired Health, LLC which operates (d/b/a/) under the name “Inspired Health Institute.”

Term. This Agreement shall be for either a  monthly or annual basis as indicated by initial below, commencing on the date of signature below. Either term shall automatically renew until cancelled by the Member or terminated by IHI as provided pursuant to this Agreement. We may cancel in the event of nonpayment that is not corrected within five (5) business days of notice. We also reserve the right to cancel this Agreement after counseling Member of a concern in the event we believe our intellectual property is being used without consent, our services are being abused or used by Member in a manner that is detrimental, in which services are being used for the benefit of others rather than Member or other material violation of this Agreement.

Credit Card Authorization. IHI is authorized by this Agreement to charge your credit card for the recurring Membership Fees and fees for additional products or services you order. IHI is authorized to charge the credit card you provided for each periodic payment without additional authorization. You agree not to initiate any dispute or chargeback to IHI’s account without first stating your dispute in writing and allowing fifteen (15) days for dispute resolution to occur. If you cancel the credit card provided to IHI you will provide us an authorization to charge a replacement credit card prior to the next billing cycle. You will be responsible for any fees or costs incurred by IHI in connection with collection, including attorney’s fees and costs and fees associated with recouping payment on fees due or on chargebacks. You agree to update IHI in advance in the event of a change in your credit card information, including changes to the name on your card, your billing address and phone number.

Insurance Notice: The IHI program is not a health care service and is not reimbursable by insurance, Medicare, Medicaid or any other third-party payor. Member agrees not to submit Membership fees as insurance claims. Expenditures for certain dietary supplement products may be reimbursable by your FSA or HSA, check with your plan administrator. IHI is unable to provide any documentation related to insurance/FSH/HAS reimbursement.

Refund Policy: Monthly subscriptions can be cancelled at any time with ten (10) days’ notice before the next payment is due. Annual subscriptions are not eligible for partial or complete refunds once payment is processed at checkout.

Scope and Limited Nature of Educational Services. Educational services are provided by Kevin Passero, N.D., licensed as a naturopathic doctor  in the State of Maryland and a naturopathic physician in the District of Columbia and Angie Thomas, CNC, a certified nutrition coach, and may include other invited colleagues working with IHI. Services under this Agreement are strictly educational in nature. Membership or any conduct that occurs under this membership does not create or constitute a doctor-patient relationship. No service constitutes medical, naturopathic care or medical nutritional care. IHI practitioners do not diagnose or treat disease on behalf of Members and the use of educational services is not a substitute for medical, naturopathic or other professional care and does not replace professional advice or care. You should not disregard professional medical advice or delay in seeking it because of information obtained through the IHI program. Always seek the advice of a physician, naturopathic doctor or other appropriately qualified health professional before making any change in treatment or beginning or discontinuing dietary supplements or medications. It is the goal of IHI Membership services to assist Members in making more informed choices along with their treating health care providers.

Notice regarding Naturopathic Services: Members can become a patient of Dr. Passero, including access to services provided by  Angie Thomas upon a mutual agreement to initiate a doctor-patient relationship requiring completion of appropriate medical history forms,  and other paperwork and appropriately scheduled telephone, on-line or in-person consultations. Any Member, who is also a patient, receives doctor-patient services outside the scope of and not governed by this Agreement.

Nature of Health Care Content: Dr. Passero is a licensed naturopathic doctor; an ND is not a medical doctor and naturopathic medicine is not a medical specialty but a separate and distinct healthcare tradition. Naturopathic approaches to care may include dietary modifications and nutritional supplementation; botanical substances as teas, tinctures or creams; homeopathic remedies (highly dilute quantities of naturally occurring plant, animal, and mineral substances); and the use of simple natural remedies including lifestyle counseling, visualization and meditation, and promotion of wellness including recommendations in support of exercise, quality sleep, detoxification, stress reduction, and balancing of work and social activities. These educational discussions may include specialized services that may not be widely recognized within the United States medical profession or about which there may be disagreement among qualified medical experts. Discussion topics may include services and products that are not formally recognized as standard practices by academic or medical professional associations or recognized approved by the U.S. Food and Drug Administration (“FDA”) for their indicated purposes. Potential risks and benefits can depend on Members’ individual circumstances and Members should ensure they are informed of the risk, benefits, and additional options for their health management. 

Adverse Reactions: Herbs/Nutraceutical/Homeopathic Products. The herbs and botanical products, vitamins and minerals and homeopathic remedies discussed in these programs are available over the counter and naturally derived products that are generally well-tolerated and considered safe based upon their long history of use. Adverse reactions are possible and some may be contra-indicated. Negative reactions can include rare allergic reactions, headaches, itching, hives, difficulty breathing, and extremely rarely, even shock or death. The interactions between herbs, and between herbs and drugs physicians might prescribe are not yet thoroughly understood. While unlikely, it is possible to have an adverse reaction or experience a reduction or increase in the effect of other medications. These can have serious consequences for some medications, such as for the control of high blood pressure or blood sugar. It is important that a patient inform their physicians about herbs being taken, particularly prior to surgery or other procedures. Reactions to homeopathic remedies are extremely rare given the doses used; an effective dose may result in a temporary increase in my symptoms. 

Use of Information: Neither IHI nor any associated individual are responsible for the use or misuse of information provided in our educational programs or of the content of our website or any sites accessed through links on IHI’s website. Reliance on any information provided by IHI is solely at your own risk. This website and any of the links it contains are solely for educational, informational and service and product description purposes only. No information posted or provided on the IHI site is intended to provide any naturopathic, medical, nutrition or other health care service. Further, Members should be aware that community discussion will include suggestions or comments from faculty directed at other Members as part of general education which may not be applicable or advisable for them, or from other members which may not reflect appropriate advice. Members are responsible for their own health choices and should address all changes to health behaviors thoughtfully and with common sense.

Additional Terms and Notices

Intellectual Property: IHI website materials including blog posts, presentations and articles as well as name, logos and images are copyrighted / trademarked materials  and intellectual property of IHI. These materials are provided to you for your personal use only and cannot be used for business purposes. You are only authorized to copy these materials for your own personal use and may not copy,, share, or otherwise disseminate any materials received from us electronically or otherwise without our written consent.

Member Privacy Commitment: Because IHI programs include open group discussion, Members health discussions will be heard by one another, and such conversations may include identifying information. Member acknowledges that mutual respect and assurances of privacy are important. Member acknowledges that they have received, reviewed, and are in agreement with IHI’s Privacy Policy, provided separately.

Release From Liability/Assumption of Risk. Members agree to assume any and all risks of taking any health care course of action based upon information they obtain from their Membership. Member hereby agrees to hold harmless and release IHI, Kevin Passero, N.D., Angie Thomas, CNC and all employees and staff from all legal liability and claims. 

Website Access. Members have access to our online digital platform . IHI is not responsible for technical difficulties that may prevent you from accessing its materials. Members experiencing difficulty should contact the help email provided on the site. Members may also be provided access to dietary supplement product fulfillment services. IHI is not responsible for the operation of those sites and Members are subject to the terms and conditions of those sites when accessing them.

Limitations on Services. IHI reserves the right to impose reasonable limitations on access by phone or email provided after notice and consideration with Member of their needs. This reservation is intended to address utilization that exceeds reasonable and useful consultations.

No Guarantee. As with any health educational program or dietary supplement product, no representations or guaranties are or can be made that Member will obtain positive results or not experience adverse reactions. You acknowledge and agree that you are solely responsible for the use of the information provided in your Membership and the results attained from such use. 

Severability. If any part, term or provision of this Agreement is held by a court of competent jurisdiction to be illegal or unenforceable, the remaining portions or provisions of this Agreement shall not be affected. The governing law for this Agreement shall be the State of Maryland.

Non-assignment. This agreement is for personal services and may not be assigned to any other person or family member. 

On my own behalf, or as the financially responsible party the Member, I have read, understand and agree to the above fee and related policies.
